Founding Member Offer Terms
These Founding Member Offer Terms apply only where Termatrac confirms in writing that a customer qualifies for the iTCare Founding Member Offer.
These offer terms should be read together with the current iTCare General Terms and Conditions, the customer's membership agreement, membership confirmation, invoice and any applicable law. If there is an inconsistency, these offer terms apply only to the Founding Member benefit and the General Terms continue to apply to all other matters.
1. OFFER SUMMARY
1.1. The Founding Member Offer provides an introductory first-year benefit for eligible customers who complete a qualifying Silver activation while the offer is available.
1.2. The benefit is three free months for the first year of membership, applied in the manner confirmed by Termatrac based on the selected billing method.
1.3. Normal iTCare pricing applies after the first Silver term unless Termatrac confirms another approved offer in writing.
2. OFFER LIMIT
2.1. The offer is limited to the first 100 qualifying Silver activations, unless Termatrac publishes or confirms a different cap, end date or offer schedule in writing.
2.2. Termatrac may close the offer when the allocation is exhausted, the offer expires, the offer is withdrawn, or the customer does not complete the qualifying steps in time.
2.3. Basic registration alone does not consume a Founding Member position. A position is consumed only when an approved company completes its first qualifying Silver activation and Termatrac confirms the allocation.
3. ELIGIBILITY
3.1. To qualify, the customer must:
- hold or create an approved iTCare company account;
- register an eligible Termatrac device by serial number;
- complete the Silver activation process during the offer period or before the allocation is exhausted;
- accept the current iTCare General Terms and Conditions and these Founding Member Offer Terms;
- complete the required payment setup or approved payment arrangement; and
- remain in good standing with Termatrac.
3.2. Founding Member status is determined and recorded by Termatrac. It is not automatic and is not confirmed until Termatrac marks the customer as eligible or confirms the status in writing.
3.3. Termatrac may require documentary evidence to verify a company, device, purchase, user, payment setup, account status or ownership before approving Founding Member status.
4. ONCE PER VERIFIED COMPANY
4.1. The Founding Member benefit applies once per verified company account, not once per user, employee, technician, location or device, unless Termatrac expressly confirms otherwise in writing.
4.2. Additional devices may receive the applicable normal Silver pricing, quantity pricing or approved written offer available at the time of activation. They do not automatically receive an additional Founding Member benefit.
5. HOW THE THREE FREE MONTHS ARE APPLIED

5.1. The Founding Member benefit applies only to the first qualifying Silver term. It does not automatically continue on renewal.
5.2. The benefit has no cash value and is not refundable, transferable, retrospective or redeemable for credit unless Termatrac agrees otherwise in writing or applicable law requires otherwise.
6. PAYMENT AND RENEWAL
6.1. The customer must provide the required payment details or complete the approved payment setup before Silver activation, even if the first three monthly instalments are waived under the offer.
6.2. For monthly payment customers, the first three months are promotional free months only. The remaining instalments remain payable for the first 12-month term, subject to the General Terms and applicable law.
6.3. On renewal, normal Silver pricing and the normal renewal rules apply unless Termatrac confirms another approved written offer before renewal.
7. EXCLUSIONS AND LOSS OF ELIGIBILITY
7.1. Termatrac may reject, suspend or withdraw Founding Member status where information is false, incomplete, misleading, duplicated, transferred, misused or inconsistent with these offer terms or the General Terms.
7.2. The offer cannot be combined with other discounts, distributor pricing, special pricing, coupons, credits or promotional offers unless Termatrac approves this in writing.
7.3. The offer is not available for Basic-only accounts, lapsed accounts, delinquent accounts, unsupported devices, non-genuine devices, transferred accounts, resale accounts or any other circumstance that Termatrac reasonably determines is not eligible.
8. GENERAL
8.1. Termatrac may update these offer terms for future customers, future activations or future offers. Changes will not remove a confirmed first-year Founding Member benefit already approved for a qualifying customer unless required for legal, safety, fraud, compliance or operational reasons.
8.2. Nothing in these offer terms excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded under the Australian Consumer Law or any other applicable law.
